Todd E. Swanson, Partner

Practice Areas

Todd E. Swanson graduated in 1982 from the University of Minnesota at Duluth, where he received a B.A. degree in Chemistry.  In 1985, he received a J.D. degree from the University of Southern California Law Center, where he undertook a curriculum emphasizing health care and business law.

As a partner in the Business Transactions & Organizations department of Hooper, Lundy & Bookman, Mr. Swanson practices extensively in the areas of corporate organizations and transactions, mergers & acquisitions, operational and highly leveraged acquisition debt financings, private placement and private equity financings, tax exempt financings, physician group and managed care provider organizations and transactions and related regulatory advice. Mr. Swanson is recognized for his creative, solution-oriented approach and deft negotiation of the most complex health care transactions. He is regularly called on by clients to act as lead counsel and participate in transactions from the initial discussions to the final closing.

Mr. Swanson’s recent practice has included handling and participating in transactions involving the sale or purchase of 19 hospitals, many of which involved the largest health care systems in the country. He has also acted as hospital counsel in numerous financings and refinancing of tax exempt hospitals and health systems, negotiating bond and other forms of financing. He has also been involved in several large scale, national financings and reorganizations by national skilled nursing companies doing business in California.

In addition, Mr. Swanson regularly assists facility and medical group clients with operational contracting matters, including:

  • Creative formation and restructuring of health care organizations;
  • Negotiating payor and provider contracts on behalf of health care providers;
  • Hospital-based service agreements and other operational contracting for hospitals, including:
    • Department agreements
    • Medical Director agreements
    • Coverage agreements.

  • Representation of proprietary company in the purchase of four hospitals in Orange County, and related acquisition and working capital financings and regulatory filings.
  • Representation of proprietary company in the purchase of four hospitals in the San Gabriel Valley area, and related acquisition and working capital financings and regulatory filings.
  • Representation of proprietary companies in the purchase and sale of individual hospitals in Southern California, and related regulatory filings.
  • Representation of proprietary company in the purchase of three hospitals in the Inland Empire area of Southern California, and related financings and regulatory filings.
  • Representation of non-profit healthcare system in Southern California in tax exempt financings involving a sweep loan program.
  • Representation of a non-profit hospital in a major refinancing of tax exempt bonds.
  • Representation of a non-profit hospital in pursuing construction of new patient care tower and HUD 242 Program financing for such project.
